Job Purpose

The Legal Counsel; General Contracts will assist the Senior Manager; General Contracts in drafting and reviewing general contracts and providing legal and contractual support to the Bank.

Key Responsibilities

Contract Drafting, Review and Administration

  • Draft, review, negotiate, and finalize general and non-lending contracts using approved templates and in accordance with applicable laws, Bank policies, and internal approval requirements.
  • Identify legal, commercial, operational, and reputational risks in proposed contractual terms and recommend appropriate protections.
  • Escalate material contractual issues to the Senior Manager; General Contracts.
  • Coordinate contract review, approval, execution, amendment, renewal, and termination, ensuring that all supporting documents and approvals are complete.
  • Maintain accurate contract records and update the contract register, including key obligations, renewal dates, expiry dates, and other critical milestones.
  • Support the development and consistent application of contract templates, clauses, checklists, and guidance notes.
  • Maintain and regularly update the Lease Register.
  • Maintain and regularly update the Contract Register.
  • Prepare and administer standard contracts and ensure proper documentation.

Legal Support and Contract Advisory

  • Provide timely, practical, and commercially sound legal advice to branches, departments, and business units on contract interpretation, legal obligations, remedies, and compliance requirements.
  • Conduct legal research and prepare legal opinions, briefs, correspondence, memoranda, and other documents required for business decisions, internal governance, and regulatory compliance.
  • Represent the Bank in courts, tribunals, arbitration proceedings, and regulatory forums.
  • Manage litigation matters, prepare legal documents, present the Bank’s position, coordinate with external advocates, and safeguard the Bank’s legal and commercial interests.

Regulatory Compliance and External Liaison

  • Prepare and submit contracts to the Tanzania Revenue Authority (TRA) and other relevant authorities, ensuring compliance with statutory requirements.
  • Monitor changes in laws, regulations, and regulatory guidance affecting contracts.
  • Advise the Senior Manager; General Contracts and relevant stakeholders on the implications of changes in applicable laws and regulations.

Risk Management and Advisory

  • Assess legal and contractual risks in assigned matters.
  • Propose appropriate and proportionate risk mitigation measures.
  • Escalate significant or unresolved legal and contractual exposures to the Senior Manager; General Contracts.

Stakeholder Engagement and Support

  • Serve as the legal contact for assigned departments and business units.
  • Respond to legal and contractual requests within agreed service timelines.
  • Provide clear progress updates to internal stakeholders.

Knowledge and Skills

  • Strong knowledge of contract drafting and review.
  • Knowledge of Banking Law and Company Law.
  • Good understanding of legal and risk management frameworks.
  • Sufficient knowledge of applicable legal and regulatory requirements in Tanzania.
  • Flexibility and adaptability in day-to-day work.
  • Excellent communication and interpersonal skills.
  • Ability to exercise sound judgment when communicating with internal and external clients.

Qualifications and Experience

  • Bachelor’s degree in Law (LLB).
  • Must be a Practicing Advocate.
  • Minimum of 3 years of experience in a dynamic and fast-paced commercial legal environment.
  • Master’s degree in Business Studies is an added advantage.
  • Banking certification(s) is an added advantage.
