The Role
The Board of Directors invites applications from suitably qualified candidates to serve as an Independent Director. The successful candidate’s name will be submitted to the Annual General Meeting (AGM) for formal appointment.
Eligibility: Definition of “Independent Director”
In accordance with the Banking and Financial Institutions (Internal Control and Internal Audit) Regulations 2014, an Independent Director is one who:

Does not hold any executive or management position in the Bank.

Does not hold a significant interest (5% or more voting shares) in the Bank or its subsidiaries.

Has not been employed by the Bank in an executive capacity within the last three (3) years.

Is not a family member of any person employed by the Bank in an executive capacity in the last three years.

Is not a professional advisor to the Bank or its subsidiaries.
-
Is free from any relationship that interferes with their capacity to act independently.

Does not receive performance-contingent remuneration from the Bank.
Requirements & Skills
1. Academic & Professional Expertise
Candidates must possess expertise in at least one of the following fields (per Corporate Governance Regulations, 2021):

Banking | Finance | Accounting | Auditing | Law | Economics | Academia.

Primary Roles of the Board

Visionary Leadership: Determine vision, mission, and values to ensure continuity.

Strategy & Monitoring: Evaluate Bank strategy to ensure the institution thrives.

Governance: Formulate policies to protect assets, reputation, and ensure legal compliance.

Risk Management: Monitor risk identification to enhance long-term shareholder value.

Executive Oversight: Appoint, delegate to, and evaluate the performance of the Managing Director.

Certified Copies of the last page of the applicant’s passport.

Two (2) Passport-size photographs (Academic/Professional style).
