Legal Manager & Company Secretary

The Legal Manager & Company Secretary ensures regulatory compliance, manages legal risks, and upholds strong corporate governance to support sustainable business growth.
Key Responsibilities
1. Legal Advisory & Compliance
- Provide timely legal advice and support to line management on business matters
- Offer expert legal guidance on fintech products, including digital payments, lending, and recovery
- Safeguard the company’s legal interests in dealings with contractors, vendors, dealers, and service providers
2. Contracts & Legal Risk Management
- Draft, review, and manage contract approvals in line with company delegation authority
- Monitor contract compliance to prevent breaches
- Manage outsourced legal services and oversee Service Level Agreements (SLAs) with external legal providers
3. Litigation & Dispute Resolution
- Manage legal disputes and litigation
- Represent the company and subsidiaries in courts and dispute resolution bodies
4. Internal Coordination
- Facilitate effective communication between departments and cross-functional teams
Company Secretary Duties
- Advise the Board on fiduciary duties and corporate governance best practices
- Coordinate Board and Committee meetings (calendar management, agenda preparation, board packs distribution)
- Ensure accurate recording of minutes for Board and AGM meetings
- Track implementation of Board resolutions
- Manage statutory filings with BRELA and ensure company records are up to date
Data Protection Officer Responsibilities
- Act as liaison with the Personal Data Protection Commission (PDPC)
- Implement and oversee the company privacy framework under the Tanzania Personal Data Protection Act (2022)
- Maintain and report data privacy risk registers and operational issues
- Manage Data Subject Access Requests (DSARs) ensuring customer rights compliance
- Conduct Data Protection Impact Assessments (DPIAs)
- Lead response to data breaches
- Conduct data protection training across the company
Minimum Qualifications & Skills
- Bachelor of Laws (LLB)
- Must be an Advocate of the High Court of Tanzania with a valid practicing license
- Minimum 6+ years’ experience in Banking, Telecom, or Fintech sectors
- Strong regulatory experience with BOT, TCRA, PDPC, Companies Act, and related frameworks
