Job Purpose

The Company Secretary and Legal Manager will support the Chief Executive Officer in implementing policies and procedures to ensure the company remains compliant with all applicable laws and regulations.

The role holder will also:

  • Provide company secretarial services
  • Support the Board and Board Committees
  • Deliver legal advisory services
  • Oversee governance and compliance functions

The successful candidate will:

  • Report directly to the Chief Executive Officer
  • Have a functional reporting line to the Director Legal and Group Company Secretary

Key Responsibilities

1. Legal Responsibilities

The successful candidate will:

Legal Advisory and Compliance

  • Advise management on legal matters affecting the business
  • Interpret and communicate regulatory requirements
  • Support operational areas on compliance matters
  • Provide legal opinions to minimize legal risks
  • Monitor statutory and regulatory developments
  • Ensure compliance with insurance laws and regulations

Litigation and Claims Management

Responsibilities include:

  • Reviewing legal cases and advising management
  • Handling demand letters and dispute resolution
  • Negotiating out-of-court settlements
  • Liaising with external advocates and courts
  • Managing legal recoveries from insurers and third parties
  • Ensuring no legal matters lapse due to time limitations

Legal Documentation and Security

The role holder will:

  • Prepare agreements for advocates
  • Handle securities perfection, including:
    • Mortgages
    • Plot loans
  • Maintain custody of:
    • Company seal
    • Charged documents
    • Legal instruments
    • Suit papers
  • Maintain confidentiality of all legal records

Regulatory and Governance Support

Responsibilities include:

  • Liaising with regulators such as IRA
  • Updating operational data and legal registers
  • Participating in reserve review activities
  • Preparing legal reports and presentations
  • Supporting strategic legal and business decisions

2. Company Secretarial Responsibilities

The role holder will provide governance and secretarial support to the Board.

Board and Committee Support

Responsibilities include:

  • Coordinating:
    • Board meetings
    • Committee meetings
    • Annual General Meetings
  • Preparing and circulating Board papers
  • Taking and maintaining accurate minutes
  • Following up on Board resolutions and actions

Governance and Compliance

The successful candidate will:

  • Advise Board members on governance responsibilities
  • Maintain Board and Committee Charters
  • Ensure compliance with:
    • Companies Act
    • Shareholders Agreements
    • Memorandum and Articles of Association
  • File annual returns with relevant authorities
  • Maintain statutory company records and registers

Corporate Governance Standards

Responsibilities include:

  • Supporting implementation of:
    • Britam Plc Group Governance Policy
  • Ensuring governance aligns with:
    • Local laws
    • Governance codes
    • International best practices
  • Advising the CEO and Board Chair on governance procedures

3. Compliance Responsibilities

The role holder will oversee compliance programs related to:

  • Anti-money laundering (AML)
  • Anti-bribery
  • Counter-terrorist financing
  • Sanctions compliance
  • Data privacy
  • Treating Customers Fairly principles

Compliance Management Duties

Responsibilities include:

  • Maintaining compliance obligations registers
  • Assessing compliance risks
  • Advising management on mitigation measures
  • Working closely with:
    • Risk teams
    • Internal Audit
    • EXCO
  • Evaluating compliance program effectiveness
  • Supporting implementation of group compliance policies

Qualifications and Experience

Applicants should possess:

  • Bachelor’s Degree in Law from a recognized university
  • Valid practicing certificate
  • Advocate of the High Court of Tanzania status
  • Certified Company Secretary qualification
  • More than 6 years of post-admission experience
  • Experience within the insurance industry

Added Advantage

  • Postgraduate qualification in Law or business-related fields
