Position: Non-Executive Director
About DCB Commercial Bank
DCB Commercial Bank Plc is a fully-fledged retail and commercial bank in Tanzania offering banking services to individuals, small and medium-sized enterprises (SMEs), and large corporate clients.
The bank operates an extensive network of branches, Wakala agents, and ATMs, serving over 3 million customers nationwide. DCB has been listed on the Dar es Salaam Stock Exchange (DSE) since 2008.
DCB is seeking a dynamic and visionary leader to join its Board of Directors as a Non-Executive Director.
Key Duties and Responsibilities
The Non-Executive Director will be responsible for providing strategic oversight and strengthening corporate governance within the bank. Key responsibilities include:
- Providing effective leadership in collaboration with the executive management team.
- Facilitating the establishment and implementation of appropriate corporate governance structures for the management of the bank’s operations.
- Reviewing, approving, and overseeing corporate governance frameworks, annual budgets, and significant expenditures proposed by management.
- Ensuring that key strategic and operational risks are identified and that effective internal controls and risk mitigation mechanisms are in place.
- Monitoring corporate performance regularly to ensure strategic objectives and operational plans are properly implemented.
- Reviewing and approving material transactions outside the ordinary course of business.
- Reporting annually to shareholders as required under DCB’s Memorandum and Articles of Association, and facilitating decisions at General Meetings.
- Participating in the selection, monitoring, evaluation, and compensation of senior executives including the Managing Director, Internal Auditor, and other executive management members.
- Ensuring ethical conduct and compliance with laws and regulations, auditing and accounting standards, and the bank’s governing documents.
- Assessing the effectiveness of the Board in fulfilling its responsibilities.
- Performing other duties as prescribed by laws and regulatory authorities, including but not limited to the Bank of Tanzania (BoT) and the Capital Markets and Securities Authority (CMSA).
Person Specifications
The ideal candidate should possess the following qualifications and experience:
Education
- A Bachelor’s degree in Banking and Finance, Economics, Audit, Business Administration/Development, Law, or a related field.
- A postgraduate qualification in a business-related field will be an added advantage.
Experience
- At least 10 years of experience as a Director in a medium to large organization with a proven track record of transforming organizations.
- More than 3 years of experience as a Board Member, including participation in Board Committees.
- Experience serving on the board of a listed company will be an added advantage.
Professional Competencies
- Strong understanding of financial management, regulatory compliance, corporate governance, and board management.
- Demonstrated investment acumen and strategic leadership.
- Experience in banking or financial sector regulation will be an added advantage.
- Strong networking and relationship-building abilities beneficial to the organization.
Integrity and Compliance Requirements
Candidates must:
- Not be a current member of management or board of another financial institution, or any institution whose license has been revoked or that has gone into liquidation.
- Have no criminal record.
- Have no history of bankruptcy, including that of related parties.
- Maintain a clean credit record, including that of related parties.
- Have sufficient time commitment to attend board meetings and support strategic activities of the bank.
