TERMS OF REFERENCE (ToR)

Provision of Legal, Tax and Human Resources Services

1. Background – MdM Mission in Tanzania

Médecins du Monde (MdM) is an international, non-profit, impartial, and independent humanitarian organization that provides medical care and advocates for the health rights of populations affected by crises, poverty, and exclusion.

MdM has been working in Tanzania since 1992, implementing an integrated approach combining Harm Reduction (HR) and Sexual and Reproductive Health and Rights (SRHR). In 2010, MdM launched Tanzania’s first comprehensive harm reduction program, contributing significantly to reducing HIV and other infectious diseases among high-risk populations.

In 2019, MdM transitioned to a technical assistance model, focusing on strengthening national systems, building local partner capacity, and advancing policy reform. Alongside HR, MdM continues to implement inclusive SRHR initiatives targeting adolescents, youth, and other vulnerable groups through community engagement, health worker capacity building, and evidence-based advocacy.

Today, MdM Tanzania is recognized as a regional technical leader in harm reduction, leveraging strong community partnerships and national collaboration to expand equitable access to health services and deliver sustainable impact.


2. Objectives of the ToR

The objective of this ToR is to invite eligible law firms or service providers to submit proposals for the provision of legal, tax, and human resources support services to the MdM Tanzania Mission.

The selected service provider will ensure:

  • Full compliance with national laws and regulations
  • Accurate drafting, review, and validation of legal, HR, and contractual documents
  • Provision of legal guidance on administrative, labor, contractual, and regulatory matters
  • Strengthening of MdM’s internal procedures, policies, and governance frameworks

3. Scope of Services

The selected law firm/service provider shall provide services including, but not limited to, the following:


3.1 Human Resources and Administrative Compliance Services

  • Provide legal advisory services on employee relations, including recruitment, employment conditions, mandatory licenses, and statutory requirements.
  • Draft, review, and validate employment contracts, including fixed-term contracts, consultancy agreements, and contract amendments.
  • Provide legal advice and written opinions on labor law, employment rights, disciplinary measures, and staff obligations.
  • Support HR case management related to disciplinary action, suspension, contract modification, performance management, and grievance disputes.
  • Advise on dismissal procedures for misconduct, redundancy, or performance, including documentation, negotiation, and drafting of settlement agreements.
  • Represent MdM in employment-related proceedings before labor institutions and courts when required.
  • Provide regular updates on labor law amendments, case law, and regulatory developments and their implications for MdM operations.
  • Review and advise on MdM bylaws, administrative policies, disciplinary regulations, and compliance frameworks to ensure alignment with national laws.

3.2 Tax-Related Services

The service provider shall:

  • Provide tax advisory services, including interpretation of tax laws and implications related to contracts and agreements.
  • Advise on VAT, withholding tax, PAYE, NSSF, and other statutory contributions.
  • Review and support timely submission of statutory reports to avoid penalties.
  • Support MdM during tax audits, disputes with the Tanzania Revenue Authority, or inquiries from regulatory bodies.
  • Provide regular updates on Finance Acts and tax law amendments and their implications.
  • Assist in ensuring compliance with social security and employment-related tax obligations.

3.3 Legal Representation and External Relations Services

3.3.1 Contract Drafting, Review, and Legal Documentation

  • Draft, review, and validate contracts and agreements including:
    • Service provider contracts
    • Supplier and vendor agreements
    • Lease agreements
    • Insurance contracts
    • Memoranda of Understanding (MoUs) and sub-agreements
    • Partnership agreements
    • Contract amendments and extensions
  • Analyze and advise on contracts proposed by third parties to ensure MdM’s legal protection.
  • Draft and review legal correspondence including formal letters, notices, termination notices, settlement notices, and acceptance reports.

3.3.2 Legal Representation and External Engagement

  • Represent MdM, upon validation by the Country Director, before government authorities, administrative bodies, social security and tax authorities, labor institutions, and courts.
  • Participate in negotiations with third parties upon request to secure favorable terms for MdM.
  • Support MdM in addressing partner compliance issues, including formal notifications and legal action in cases of breach of contractual obligations.

4. Eligibility and Qualifications

The service provider must:

  • Possess a valid Tax Identification Number (TIN), Commercial Registration, and Law Practice License.
  • Demonstrate relevant experience in labor law, tax law, and social security law, including dispute resolution and litigation.
  • Have proven experience providing legal advisory services to international non-governmental organizations (INGOs).
  • Provide recommendation letters from other NGOs.
  • Demonstrate strong analytical, research, interpersonal, and communication skills.

5. Proposal Submission Requirements

Interested service providers must submit a proposal comprising:

5.1 Technical Proposal

  • Company/Firm profile
  • Description of relevant experience and similar assignments
  • Proposed approach and methodology for service delivery
  • At least three (3) professional references

5.2 Financial Proposal

  • Proposed monthly retainer fee
  • Breakdown of services covered under the retainer
  • Applicability of taxes

6. Evaluation Criteria

Proposals will be evaluated based on:

  • Relevant experience and qualifications
  • Understanding of the scope of work
  • Proposed approach and responsiveness
  • Cost-effectiveness and value for money
  • References and past performance

7. Confidentiality

All information provided by MdM shall be treated as strictly confidential and used solely for the purpose of this assignment.


8. Contract Terms

  • The selected service provider will be engaged on a retainer basis.
  • The initial contract duration will be one (1) year, with the possibility of renewal subject to performance and mutual agreement.
  • Payment terms will be defined in the final contract.
