Position Summary
- Position Title: Assistant Legal Manager Cum Company Secretary
- Organization: BRAC Tanzania Finance Ltd
- Location: Dar es Salaam, Tanzania
- Employment Type: Permanent
Job Purpose
The role provides legal advisory and corporate governance support to BRAC Tanzania Finance Ltd. The incumbent will:
- Offer legal interpretation and advisory services
- Manage litigation and legal claims
- Draft and review legal agreements and contracts
- Ensure regulatory and statutory compliance
- Provide Company Secretary services including Board support and corporate record management
Key Responsibilities
1. Corporate Governance & Company Secretarial Duties
- File annual returns at BRELA, including:
- Directors’ reports
- Audited financial statements
- Organize Board and shareholder meetings:
- Issue notices
- Prepare agendas
- Circulate documents
- Draft minutes and resolutions
- Notify BRELA of changes in company structure or management
- Maintain registered office records and statutory information
- Ensure proper branding and legal compliance on official documents and communications
- Manage secure filing and retention of company legal documents
- Advise directors on compliance with corporate laws and Articles of Association
2. Legal Advisory & Compliance
- Provide legal advice to management and staff
- Monitor compliance with government and regulatory requirements
- Coordinate legal activities across field offices
- Represent the organization in courts and quasi-judicial bodies (where delegated)
- Draft and review legal documents for BRAC entities in Tanzania
- Conduct training on labour and relevant laws
- Participate in policy review and development
- Prepare legal reports (progress and annual)
- Perform additional management-assigned legal functions
3. Safeguarding Responsibilities
- Promote safeguarding culture across all programme levels
- Ensure staff are trained on safeguarding policies
- Provide guidance on safe working environments
- Ensure proper reporting and response to safeguarding incidents
Required Qualifications & Experience
Applicants must have:
- Bachelor’s degree in Law (LLB)
- Master’s degree is an added advantage
- Must be a registered Advocate
- Minimum 7 years’ experience in legal practice
- Knowledge of:
- Industrial relations
- Company secretarial duties
- Strong negotiation skills
- Experience in mediation and arbitration
- Strong analytical and problem-solving ability
- Ability to assess legal issues and provide practical solutions
Additional Skills
- Strong planning and organizational skills
- Ability to meet deadlines and work accurately
- Strong interpersonal and communication skills (English required)
- Ability to manage workplace diversity
- Computer literacy (MS Word, Excel, PowerPoint)
- Demonstrated mature judgment
