Board Member Opportunity
The Secretariat of the Board of Directors of TOL Gases PLC invites shareholders to nominate suitable candidates for election to fill one vacant Board Membership position.
The successful candidate will be expected to provide strategic oversight, contribute to effective corporate governance, and support the continued growth and sustainability of the company.
Candidate Requirements
Applicants should demonstrate expertise and experience in at least one of the following areas:
- Engineering
- Manufacturing
- Technical Operations
- Human Capital Management
- People Leadership
- Digital Transformation
- Information Technology (IT)
- Environmental, Social, and Governance (ESG) Matters
Additional Requirements
Candidates must demonstrate:
- Ability to provide strategic direction and oversight at Board level.
- Understanding of corporate governance principles.
- Ability to contribute to business strategy, risk management, and organizational growth.
Nomination Requirements
Candidates must be:
- Nominated or proposed by a shareholder who is qualified to attend and vote at the company meeting.
- Supported by a signed proposition from the shareholder confirming the nomination.
- Willing to accept election to the Board.
Documents Required
Any shareholder wishing to nominate a candidate must submit:
- Notice of intention to propose a candidate for election, signed by:
- The shareholder making the proposal.
- The proposed candidate confirming willingness to be elected.
- Curriculum Vitae (CV) of the proposed candidate, prepared in consideration of:
- The Companies Act requirements.
- The Company’s Memorandum and Articles of Association (MEMARTS).
