Job Purpose
The Legal Manager; Secretarial will be responsible for handling general board secretarial and statutory functions for the Bank.
The role focuses on ensuring that the company:
- Complies with the Companies Act requirements
- Adheres to the Memorandum and Articles of Association
- Maintains strong corporate governance practices
Main Responsibilities
Statutory Compliance and Governance
The successful candidate will:
- File annual returns and statutory reports with regulators and government authorities
- Ensure compliance with:
- The Companies Act
- Corporate governance requirements
- The Company’s Memorandum and Articles of Association
- Liaise with:
- Registrar of Companies
- Dar es Salaam Stock Exchange
- Other statutory bodies
Board and Committee Management
Responsibilities include:
- Managing Board and Committee processes
- Preparing and circulating:
- Agendas
- Minutes
- Board papers
- Discussion documents
- Proposals
- Organizing:
- Shareholders’ meetings
- Directors’ meetings
- Board evaluations
Corporate Secretarial Functions
The role holder will:
- Draft Board minutes and governance documents
- Prepare directors’ reports
- Maintain statutory registers, including:
- Shareholders
- Directors
- Charges
- Company secretary records
- Update BoardVantage with policies and governance documents
Strategy and Reporting
Responsibilities include:
- Preparing the Company Secretarial and Corporate Governance strategy
- Preparing quarterly and annual departmental reports
- Implementing the Board of Directors calendar
- Ensuring the Board receives adequate information for informed decision-making
Compliance and Coordination
The successful candidate will:
- Coordinate activities of NMB subsidiaries and associates
- Ensure implementation of consumer protection requirements
- Work closely with internal departments on legal and regulatory compliance
- Coordinate training, orientation, and Board logistics
Knowledge and Skills
The ideal candidate should possess:

- Must be a practicing advocate
Added Advantage
- MBA or LLM qualification
Experience Requirements
- Minimum 4 years of corporate legal experience
- At least 3 years managing Board matters in a large organization
- Banking or financial sector experience is preferred
