Job Summary

Reporting directly to the Chief Executive Officer (CEO), the Head of Legal & Company Secretary (HL/CS) is responsible for providing comprehensive legal and strategic advice to FINCA Microfinance Bank, its Management and Board of Directors, while managing the institution’s overall legal risk.

The HL/CS is a member of FINCA’s Executive Committee (EXCO) and participates in discussions and decisions made by the committee.

The position has two primary responsibilities:

  1. Head of Legal Department – responsible for FINCA’s legal function and providing legal guidance across the institution.
  2. Company Secretary – responsible for corporate governance and related statutory and Board requirements.

The role oversees legal matters relating to banking and financial regulations, legal compliance, policy development, employment and labour matters, litigation and contracts. The position also identifies legal risks and proposes mechanisms for mitigating those risks.

The HL/CS works with senior management to promote integrity and transparency and oversee compliance with applicable laws, policies and FINCA’s Code of Conduct.


Key Duties and Responsibilities

1. Corporate Governance

  • Advise Management and the Board of Directors on the scope of their authority, appropriate decision-making and the legal aspects of their decisions.
  • Attend meetings of Shareholders/Members, the Board of Directors and relevant Committees.
  • Lead the scheduling of meetings of FINCA’s corporate bodies to ensure compliance with applicable requirements and timely decision-making.
  • Assist in preparing agendas for Shareholders’, Board and relevant Committee meetings.
  • Send meeting notices to Shareholders, Board members and relevant Committee members.
  • Guide FINCA Management in preparing materials for meetings.
  • Provide legal advice to the Chair of the Board in exercising the Chair’s duties.
  • Record attendance at Board and Committee meetings and submit attendance records quarterly to FINCA Impact Finance.
  • Ensure quorum requirements are met and decisions are adopted in accordance with applicable law and FINCA’s constituent documents.
  • Draft minutes for Shareholders’, Board and applicable Committee meetings and prepare resolutions where necessary.
  • Coordinate with FINCA Impact Finance to ensure appointments and removals of Directors are properly documented and required regulatory approvals are obtained on time.
  • Issue formal letters of appointment and removal to Directors.
  • Ensure compliance with applicable laws, regulations, FINCA policies and principles of good corporate governance.
  • Promptly report and advise on conflicts of interest in accordance with FINCA policies and the Code of Conduct.
  • Advise Directors and Board officers regarding their responsibilities, including fiduciary obligations.
  • Periodically assess governance practices and Directors’ performance and recommend improvements.
  • Maintain corporate records and document all corporate decisions.

2. Compliance with Banking and Microfinance Laws and Regulations

  • Determine FINCA’s obligations under applicable banking and microfinance legislation and adjust policies and processes where necessary.
  • Monitor changes in applicable banking and microfinance laws and regulations.
  • Communicate regulatory changes and updates to Management and relevant staff in a timely manner.
  • Review internal documents and policies to ensure compliance with applicable laws, regulations, guidelines and circulars.
  • Review and prepare contracts and documentation used by FINCA in providing financial services to clients.
  • Assist in preparing and drafting reports and communications to regulators.

3. Legal Support to FINCA Operations

  • As a member of EXCO, provide guidance to FINCA’s various departments and divisions and participate in management decisions concerning day-to-day operations.
  • Implement instructions from the Board of Directors relating to legal aspects of FINCA’s operations.
  • Support Human Resources in ensuring compliance with labour and employment obligations.
  • Ensure employment contracts comply with applicable laws and protect FINCA’s interests.
  • Provide legal support concerning hiring structures and the visas and immigration permits required for foreign nationals providing services to FINCA.
  • Engage tax experts when necessary to advise on FINCA’s tax liabilities and practices.
  • Advise on transactions involving local and foreign third parties and propose legally compliant transaction structures that achieve appropriate tax treatment.
  • Review and draft documentation for potential FINCA projects, including grant agreements and third-party partnerships.
  • Review and negotiate loan agreements and other financing arrangements for FINCA’s operations.
  • Provide legal opinions on various aspects of FINCA’s operations based on applicable local law.
  • Identify legal risks and propose mechanisms for mitigating them.
  • Review and draft contracts and documentation related to FINCA’s day-to-day activities, particularly client loan documentation.
  • Review leases, sales agreements, service agreements and other contracts to ensure they protect FINCA’s interests and comply with applicable law.
  • Coordinate with FINCA Impact Finance on protecting FINCA trademarks within its jurisdiction.
  • Remain up to date with laws and regulations applicable to FINCA.
  • Assist with the legalization and authentication of documents prepared for or used abroad.
  • Provide legal training to FINCA staff on relevant areas of law and operations.

4. Representation Before Courts and Administrative Agencies

  • Represent FINCA before local authorities and courts when required.
  • Maintain resources and oversee collection litigation and fraud prosecution in accordance with FINCA’s practices and policies.
  • Pursue claims on behalf of FINCA as determined.
  • Defend FINCA against claims brought against the institution.

5. Organizing and Supervising Legal Support

  • Assist FINCA’s Office of the General Counsel in identifying and engaging external legal counsel when required.
  • Organize and conduct training sessions for FINCA staff and Management on relevant legal issues.
  • Work with FINCA’s Office of the General Counsel and Human Resources Department to provide legal support concerning employment structures, visas and immigration permits for foreign nationals.
  • Provide periodic reports on legal activities and projects to the CEO and FINCA’s Office of the General Counsel.
  • Coordinate and supervise the work of other attorneys providing legal services to FINCA.

6. Risk and Compliance

  • Support and reinforce an effective Risk Control Self-Assessment (RCSA) programme for key business processes related to the position.
  • Adopt control improvements where required.
  • Actively contribute to fulfilling RCSA corrective action plan commitments.

7. Supervising Legal Department Employees

  • Coach and develop employees within the Legal Department.
  • Oversee the day-to-day operations of subordinate Legal Department employees.

Job Requirements

Qualifications

  • LL.B from a recognized university.
  • Diploma in Legal Practice from the Tanzania Law School (LST).
  • Must be registered as an Advocate.
  • A Master’s Degree will be an added advantage.

Experience

  • Minimum 10 years of working experience.
  • At least 5 years of experience in a leadership or supervisory role in legal practice.
  • Experience should be within the financial/banking sector or a busy law firm.
  • Experience in:
    • Corporate law
    • Litigation
    • Labour law
    • Corporate governance
