Position Details

Position Title: Independent Non-Executive Director
Target Candidates: Female candidates only
Location: Dar es Salaam, Tanzania

Applicant Requirements

The candidate must meet the following conditions:

Must not hold any executive or management position in a bank or financial institution
Must not serve simultaneously as a board member or executive in any financial institution in Tanzania
Must not have significant direct or indirect interest in Bank of India (Tanzania) Ltd or its group entities
Must not have been employed in an executive role within the bank or its group in the last 3 years
Must not be a family member of current or recent executive staff (past 3 years)
Must not be a professional advisor to the bank or its group
Must be free from conflicts of interest affecting independence
Must not receive performance-based remuneration from the bank
Must not have served as director/CEO for 10 consecutive years without a 3-year cooling-off period
Must comply with Bank of Tanzania approval rules (including 2-year cooling-off from other financial institutions unless approved)
Must not be a member of Parliament, House of Representatives, or local government council
Must have sufficient time availability
Must have no criminal record involving fraud or dishonesty
Must not have been involved in management of failed financial institutions
Must have no bankruptcy or credit default history (including related parties)

Qualification & Experience

Minimum Bachelor’s Degree in:
- Business Administration
- Accountancy
- Finance
- Economics
- Law
- Risk Management
Strong background in:
- Banking management
- Credit management
- Finance
- Economics
- Legal practice
Must have a clean credit record (including related parties)
Maximum age: 65 years

Key Duties & Responsibilities

As a Board member, the Independent Non-Executive Director will:

Define and oversee the bank’s vision, mission, values, and strategy
Ensure the bank’s long-term sustainability and performance
Develop and approve governance policies and strategic objectives
Evaluate board and individual director performance
Oversee risk management and investor relations
Attend and actively participate in board meetings and corporate events
Stay informed and contribute to strategic planning and evaluations
Maintain strong collaboration with fellow board members
