Job Summary
The Legal Manager – Contracts and Compliance is responsible for providing legal advisory support to the bank by managing contractual risks, ensuring regulatory compliance, supporting legal risk management, and advising business units on legal matters affecting banking operations.
The role involves reviewing and negotiating contracts, conducting legal audits, preparing legal risk reports, supporting policy development, managing disputes, and ensuring compliance with applicable laws and regulations.
Key Responsibilities
1. Legal Compliance and Risk Management
- Review laws, regulations, guidelines, and pending bills affecting banking operations.
- Advise business units on legal and regulatory compliance requirements.
- Implement the Legal Risk Management Framework.
- Conduct internal legal audits across departments.
- Identify legal risks and recommend mitigation strategies.
- Support departments in implementing corrective actions.
- Track and close outstanding legal audit issues.
2. Contract Drafting and Management
Responsibilities include:
- Draft, review, and negotiate various contracts, including:
- Vendor agreements
- Customer agreements
- Service contracts
- Non-Disclosure Agreements (NDAs)
- Partnership agreements
- Procurement contracts
- Ensure contracts comply with:
- Legal requirements
- Business objectives
- Bank policies
- Review and amend:
- Start-up agreements
- Master Service Agreements
- Service agreements
- Contract amendments
- Maintain contract records and monitor:
- Expiry dates
- Renewals
- Contract risks
3. Legal Advisory and Reporting
The Legal Manager will:
- Prepare legal risk reports for:
- Senior Management
- Board committees
- Conduct legal risk analysis for projects.
- Provide legal support on business initiatives.
- Advise on product terms and conditions.
- Support development of legal policies, procedures, and templates.
- Monitor emerging legal risks affecting banking operations.
4. Dispute Resolution and Litigation Support
Responsibilities include:
- Assist in managing contractual disputes.
- Support dispute resolution processes.
- Respond to legal correspondence.
- Provide legal opinions on various matters.
- Conduct legal research and analysis.
5. Legal Training and Awareness
The role involves:
- Conducting legal awareness training for bank staff.
- Visiting branches to provide legal guidance.
- Preparing frequently asked questions after training sessions.
- Training staff at the Leadership Centre.
- Disseminating legal and regulatory updates across departments.
6. Intellectual Property Management
Responsibilities include:
- Manage the bank’s intellectual property portfolio.
- Register and maintain records for:
- Service marks
- Trademarks
- Logos
- Handle intellectual property disputes, including:
- Trademark infringement
- Copyright issues
7. Reporting and Analytics
- Prepare periodic reports on:
- Contract status
- Legal risks
- Compliance metrics
- Analyze contract data to identify:
- Trends
- Risks
- Process improvement opportunities
Daily Responsibilities
- Respond to legal correspondence.

- Attend stakeholder meetings.

Required Qualifications
Academic Qualifications
Required:
- Bachelor’s Degree (LLB) with specialization or strong knowledge in:
- Contract Law
- Company Law
- Intellectual Property Law
- Land Law
- Capital Markets Law
- Corporate Law
- Diploma in Law
Added Advantage:
- Master’s Degree in Law (LLM)
Experience Requirements
Minimum experience required:
4 years
Relevant experience in areas such as:
- Legal advisory services
- Contract management
- Banking operations
- Compliance and regulatory matters
- Commercial law
Experience within the banking or financial services sector is desirable.
